Markets regulator Securities and Exchange Board of India (SEBI) has settled adjudication proceedings against five Adani Group companies over alleged violations related to disclosure of related-party transactions, with the companies collectively paying Rs 1.50 crore to settle the proceedings.
The settlement announced relates to SEBI’s examination of corporate governance and disclosure issues involving the Adani Group. The proceedings stemmed from Sebi’s examination into allegations and corporate governance issues highlighted in the Hindenburg report, including possible violations of the listing regulations and erstwhile listing agreement.
The five companies involved are Adani Enterprises, Adani Green Energy, Adani Total Gas, AWL Agri Business and Adani Energy Solutions. Adani Enterprises paid Rs 76.05 lakh, while Adani Green Energy paid Rs 45.50 lakh. Adani Total Gas, AWL Agri Business and Adani Energy Solutions paid Rs 9.75 lakh each.
“Therefore, in view of the acceptance of the settlement terms and the receipt of settlement amount by SEBI, the instant adjudication proceedings initiated against the Applicants vide SCN dated February 15,2024is disposed of in terms of section 15JB of the SEBI Act and section 23JA of the SCRA read with regulation 23(1) of the Settlement Regulations on the basis of the settlement terms,” the SEBI order read.
The settlement order is passed on this day of September 22, 2026 and shall come into force with immediate effect, the order read.
Notably earlier, the cases related to Adani Port and Adani Power were settled by SEBI, and with these 5 today, the total 7 Adani entities that were named in the Hindenburg report stands all clear now.
